Subscription: The Subscriber hereby agrees to subscribe to one or more of the following services as outlined in the invoice (the "Services"):

Brand Builder: This package allows you to post one ad per day in each selected Facebook group, giving your business a daily presence and consistent visibility.
Brand Builder: Brand Builder is your brand forward Directory Listing and E-Commerce Store packed in one, including: a Reviews Extension, Booking Extension, unlimited product listing capabilities, click to call and email functions, backlinks to drive traffic to existing sites and improve SEO, social media connect and in-store emails that allow push-notifications to your loyal followers.
Directory Plus: Everything in Brand Builder plus access to our local, high-engagement social media groups and custom links to your online listings with the Directory to help drive traffic directly to your most popular offerings.
Directory Gold: Everything In Brand Builder and Directory Plus with Tagging Services and Link-Backs to your Directory Listing to help drive traffic and optimize search results.
Annual Directory Gold: Pay for one year of Directory Gold and Save! Everything In Biz-Essentials and Directory Plus with Tagging Services and Link-Backs to your Directory Listing to help drive traffic and optimize search results.
Directory Gold Lifetime Unlimited: This comprehensive package includes the Daily Ad-Vantage group pack for up to three of our Facebook groups (subject to availability), Biz-Essentials, and Directory Gold with Tagging Services and Link Backs in one of our popular, social media groups, access to our Backlink exchange program. As a bonus, you'll receive a lifetime membership to our business network "Trust L.O.C.A.L.". (Lifetime Packages are transferrable when or if you sell your business. Restrictions Apply)
Terms & Termination: The Subscriber or the Company may cancel the subscription service and membership at any time. In the event the subscriber cancels a month-to-month membership in accordance with the 30-day cancellation policy, the Company may continue to provide the Services as laid out in this Agreement through the end of any cycle that has been paid for. In the event the Company cancels the Agreement the subscriber will not be charged for the subsequent month. It is understood that the Company reserves the right to delist the subscriber and discontinue services for any reason, at any time, and without prior notice.
Compliance with Standards and Rules: The Client understands and agrees to adhere to Facebook rules and community standards, as well as Company policies, the Company’s group policies, standards and rules, and federal, state, and local laws, statutes, rules, regulations that apply to your business.
SMS/Text Updates: Members agree to receive SMS/Text messages from the Tampa Directory about their account(s) and newly available products and services; Subscribers may opt out at any time.
Indemnification and Limitation of Liability: The subscriber agrees to indemnify and hold harmless Healthy Happy Home, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from the subscriber’s use of the marketing services. Healthy Happy Home is not responsible for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the marketing services, whether based on warranty, agreement tort, or any other legal theory.
Agreement to Arbitrate: The client agrees that prior to pursuing any other legal action, they will engage in good faith in the arbitration process as outlined in this Agreement. Any dispute, claim or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate.
Choice of Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. The parties agree that any actions or proceedings arising in connection with this Agreement shall be tried and litigated exclusively in the state and federal courts located in Hillsborough County, Florida.
Waiver for Posting Subscriber Ad Materials: The Client acknowledges and agrees that the Company, acting as their authorized representative, may post and distribute the Client’s advertising materials on various platforms, channels, and media as deemed appropriate by the Company. This includes, but is not limited to, websites, social media, print publications, email, and promotional materials.
By providing the Company with their ad materials, the Client waives any claims or rights related to the Company’s use of these materials. The Client further agrees that the Company may modify, adapt, or enhance the materials for optimal presentation.
This waiver remains in effect during the duration of the business relationship between the Client and the Company.
Lawful Conduct and Scope of Agreement: The client agrees to conduct themselves in a lawful manner in all dealings with or in connection with Healthy Happy Home, LLC. The client acknowledges and agrees that the scope of this agreement is limited to the services expressly provided for in this agreement. Any services not explicitly included in this agreement are excluded, and Healthy Happy Home, LLC assumes no responsibility or liability for such services.
Enforceability: If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force and effect without being impaired or invalidated in any way. If any provision of this Agreement is found to be so broad as to be unenforceable, such provision shall be interpreted to be only so broad as enforceable. The parties agree to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
Cancellation and Refund Policy
Subscribers on monthly plans can cancel at any time, The cancellation takes effect at the end of the current billing cycle after the notice period, and subscribers continue to receive services as outlined in their plan until the current billing cycle is complete.
For Annual and Lifetime Unlimited Plans, cancellations are subject to the current full monthly, non-discounted price. If a subscriber received an annual package discount and decides to cancel early, the discount is forfeited. The full monthly amount at the current rate offsets the total paid for the annual package.
Refunds are calculated by subtracting the full monthly price for each month the subscriber had the package (including the notice month) from the total amount paid for the annual package. Any remaining amount is refunded to the subscriber.
All cancellations must be made in writing and sent to either The Tampa Directory, 3702 W. Spruce St. #1401, Tampa, FL 33607, or customercare@thetampadirectory.com
Fee lock-ins apply to non-Founder’s Club Monthly Plans, with the client’s fee amount locked in for up to one year from the sign-up date. Continuity and good account standing maintain the lock-in, while interruptions may terminate the agreement.
In the event of auto-renewal payment decline, we make three attempts to rectify the issue within five business days. If payment is not received, the client’s listing is removed. Reinstatement is possible if a listing spot is available.
Founder’s Club Lifetime Plans have annual and monthly renewals. Members receive a renewal notice one month before the renewal date.
Non-refundable Fees: The verification and web set-up fee is non-refundable once verification has been performed; verification is performed within 72 hours (about 3 days) of execution of this Agreement.

Month-to-month cancellations follow the 30-day policy, and services continue thy days to avoid voiding the contract and lifetime fee lock-in. Cancellation clauses apply to monthly plans, including Lifetime Fee Lock-in Plans.
